Eastman Kodak Company (KODK) Investigation:

The investigation centers on whether Kodak’s board of directors breached its fiduciary duties related to the disclosure of the company obtaining a $765 million U.S. government loan. 

Specifically, on July 27, 2020 news leaked that Kodak had received a letter of intent for a $765 million government loan under the Defense Production Act to help expedite domestic production of drugs that can help treat a variety of medical conditions and loosen U.S. reliance on foreign sources. This news, which emerged one day before the company was scheduled to publicly announce the loan, caused Kodak’s shares to skyrocket on heavy volume.

But on July 29, 2020, The Wall Street Journal reported that Kodak itself had sent a news advisory about the $765 million loan to media outlets in Kodak’s hometown of Rochester, New York, without indicating the information was not intended to be released publicly.  This caused local reporters to publish favorable stories and tweets about the loan, which were subsequently deleted.

That same day, it was also reported that on July 27, 2020, Kodak’s board of directors granted several insiders options to purchase approximately 1.885 million shares of the company’s common shares.  These insiders include Executive Chairman and CEO James V. Continenza, who received options to purchase 1.75 million shares, and CFO David E. Bullwinkle, who received options to purchase 45 thousand shares.

Since this time, it has been reported that the SEC is investigating Kodak’s controlled disclosure of the loan and whether any illicit trading occurred before the loan announcement.  Moreover, on Aug. 9, 2020, the U.S. International Development Finance Corp. announced that it has put the loan on hold pending probes of alleged wrongdoing.

Upon finalization of the terms under negotiation, the total size of the two investments is expected to be over 2 trillion Korean won—roughly equivalent to 2 billion US dollars—and over the total amount invested in the Company’s previous three plants combined throughout its nine-year history.

Study Pinpoints Five Most Likely Causes of Post-Traumatic Stress in Police Officers

Based on biological studies of officers in major cities, the study showed that the most significant PTS predictors are the tendency to startle at sudden sounds, early career displays of mental health symptoms (e.g., anxiety and depression), and certain genetic differences, including some known to influence a person’s immune system.

«If we can identify major risk factors that cause PTS and treat them before they have the chance to develop into full-blown post-traumatic stress disorder, or PTSD, we can improve the quality of life for police officers and perhaps other emergency responders, and better help them deal with the stressors of their work,» says senior study author Charles Marmar, MD, the Lucius N. Littauer Professor of Psychiatry at NYU Grossman School of Medicine.

Publishing online Aug. 10 in the journal Translational Psychiatry, the study authors employed a mathematical computer program developed by scientists at NYU Langone Health and the University of Minnesota. They used a combination of statistical analyses to test which of a large number of features linked by past studies to PTSD were the best at predicting its occurrence in police officers. 

Some of this winnowing that determined the best predictors was accomplished using machine learning, mathematical models trained with data to find patterns. These algorithms enabled researchers to track how experiences, situations, and characteristics may have interacted over time to lead to PTS symptoms, and represent the first use of such techniques in PTS research in police officers, the authors say.

«Based on these techniques, our study identified specific causes of PTS, rather than possible links,» says Marmar, also chair of the Department of Psychiatry at NYU Langone.

He adds that the need for better information is urgent. An estimated eight out of every 100 people experience PTS in their lifetimes, according to the National Institute of Mental Health. Police officers are particularly vulnerable, he says, facing an average of three traumatic experiences for every sixth months of service. Common symptoms include nightmares, aggression, and distressing flashbacks of the traumatic event, which can lead to poor sleep, anxiety, depression, and increased risk of suicide.

In the new study, the investigators analyzed data collected on 207 police officers from departments in New York City, San Francisco, Oakland, and San Jose who had PTS. All officers had experienced at least one life-threatening event during their first year on the job.

Using the computer program, the investigators searched for patterns in 148 different characteristics previously thought to be involved in PTS. They mapped out 83 different possible combinations of factors, or pathways, which could have influenced the officers as they developed the condition.

Then, they identified factors which appeared most frequently, and found that every pathway to PTS shared one of five causes. Besides the tendency to startle easily, severe distress following a traumatic experience, and a set of emotional health problems, such as anxiety and depression, played a key role in PTS. Genetic causes included mutations in the HDC gene, which is linked to problems in the immune system and mutations in the MR gene, which is involved in the body’s immediate reaction to threats, known as the fight-or-flight response. If all five factors were eliminated, researchers say, the officers would not be expected to develop PTS.

«Because the factors we identified are causal, they should be actionable as well,» says lead study investigator Glenn Saxe, MD, a professor in NYU Langone’s Department of Child and Adolescent Psychiatry.  «Several of the causal factors we identified – the HDC gene, the MR gene, and the startle response – point to well-mapped nerve circuits, which should allow us to find drugs and behavioral therapies that might help. Down the road, we see the possibility of using information collected from patients about causal factors to select the interventions that would provide the most benefit to them.»

Saxe says other future interventions might target factors that may not cause PTS on their own, but frequently contribute to its development. For example, the study found that difficulty adjusting to work contributed to PTS development in 60 percent of the causal pathways. Therefore, a straightforward solution, like giving more support to new police officers who are having difficulty adjusting to police work, may reduce their risk of getting PTS, according to Saxe.

Moving forward, the researchers plan to apply the same algorithm technique in a much larger group of traumatized adults and children, focusing on a more extensive set of characteristics and experiences.

Cannon, the son of a Christian minister and currently a doctoral student at Howard University’s School of Divinity, acknowledged, «I have no problem saying I was wrong. I had to step up and do what’s right.»

«I thought I was speaking facts,» said Cannon, referring to his comments about «centralized banking» and the Rothschilds. «I did not understand this was taken as the kind of propaganda that led to the Holocaust,» he said. «How does continuing these tropes help bring our communities together?»

Noting that both the Black and Jewish communities «have persecution in common,» Cannon said the narratives of slavery and historical antisemitism should not be competitive. This is «not the oppression Olympics,» he asserted. 

Instead, Cannon pointed out that, with African Americans comprising 13% and Jews 2% of the American population, «together we can make real changes» for American society.

Cannon said it is important for the African American community to know the history of Black-Jewish relations. «The Jewish community was part of the civil rights movement and so many other movements. We need the Jewish community with us in this fight in 2020,» said Cannon, adding that «45% of non-Black supporters in the civil rights movement were Jews.»

Cannon, who in recent weeks has met with Rabbi Marans, as well as with Holly Huffnagle, AJC U.S. Director of Combating Antisemitism, said, «It’s time for me to be a student, to use the resources to bring our communities together.»

Cannon said he «needed to understand» why the words he used were so hurtful. Holding up a copy of AJC’s «Translate Hate» publication, a glossary of antisemitic terms and tropes, as a guide, Cannon said he was not aware that certain conversations, certain ideas of hatred towards Jews, «go back centuries.»

To break down barriers between the Black and Jewish communities requires, firstly, education, said Cannon, who also criticized social media for inflaming tensions and strengthening compartmentalization between groups.

«I try to stay away from hashtags, the catchy phrases,» he declared. Four hundred years of oppression of African Americans and the murder of six million Jews in the Holocaust «can’t be summed up in a hashtag,» he said. «They cannot be clickbait headlines.»

Asked about his view of Nation of Islam head Louis Farrakhan, Cannon said that many African American leaders, including Martin Luther King, Jr., Malcolm X, and Muhammad Ali, had been accused of antisemitism.

Farrakhan, he said, has been seen in the Black community as a leader who helped on social issues, such as incarcerated Blacks and those suffering with drug addiction, and leading «the greatest peace gathering in the history of the world, the Million Man March.»

Before being eligible for ROC, farms must first hold USDA organic certification. ROC then adds further criteria to ensure soil health, animal welfare, and social fairness, making it the highest standard for organic agriculture in the world. By choosing an ROC product, consumers can know at a glance that their purchase supports farm workers, soil health and pasture-based animal welfare. The new certification also has three levels—bronze, silver, and gold. The levels require farms and businesses to phase in more rigorous regenerative organic practices over time.

The Regenerative Organic Alliance was formed in 2018 to promote regenerative organic farming as the highest standard for agriculture around the world. ROA exists to heal a broken system, repair a damaged planet, and empower farmers and consumers to forge a brighter future through better farming. And the time is now: COVID-19 has quickly revealed the underlying risks and inequalities in the global food system. Many farmers, doctors, and scientists agree that fixing our broken food system and adhering to regenerative organic practices is one of the tools we have to improve human health, as shown in a new white paper recently released by Rodale Institute and The Plantrician Project.

The ROA first established the Regenerative Organic Certified standard in 2018, then conducted a pilot program the following year to test the standard on real farming operations around the world. The intent of the pilot was to gather participants’ feedback in order to improve the process and the standard’s criteria. With the initial pilot program completed, the ROA will increase the number of approved certifiers and will begin certifying new brands, effective immediately in partnership with their program manager, NSF International.
